1. Introduction & Acceptance


Welcome to Code Zero Yachts. By accessing or using our website (www.codezeroyachts.com), contacting our brokers, submitting charter enquiries, or utilising any of our brokerage services, you agree to be bound by these Terms of Service, our Privacy Policy, and our Cookies Policy. If you do not agree to these terms, please refrain from using the website or our services.


2. Nature of Services (Brokerage & Intermediary Role)

2.1. Intermediary Status: Code Zero Yachts operates as an independent luxury yacht charter and sales broker. We act as an intermediary connecting charterers with yacht owners, central management agents, and authorised operators.

2.2. Charter Agreements: Inquiries, proposals, e-brochures, and sample itineraries provided via the website or email do not consitute a legally binding charter contract. A binding charter is formed only upon the mutual execution of an official formal charter agreement (e.g. standard MYBA, CYBA or AYCA Charter Agreement) signed by the Charterer and the Owner/Central Agent, accompanied by the required initial deposit.

2.3. Contractual Primacy: In the event of any conflict between these Website Terms of Service and the terms of an executed Charter Agreement, the provisions of the executed Charter Agreement shall prevail.


3. Vessel Information, Availability & Pricing

3.1. Listing Accuracy: Vessel specifications, amenities, photos, crew details, cruising areas, and charter rates displayed on codezeroyachts.com are sourced from yacht clearinghouses (including Central Yacht Agent and MYBA Yachtfolio) and central agents. While we strive to maintain complete accuracy, all information is subject to change without prior notice.

3.2. Charter Inclusions & Exclusions: Rates published on our website reflect base charter pricing. Inclusions and exclusions (such as provisions, fuel, local taxes/VAT, permits, delivery fees, and crew gratuity) vary by vessel, contract type (all-inclusive vs. plus expenses), and cruising destination, and will be explicitly detailed in your individual charter proposal and contract.

3.3. Availability: All yachts are offered subject to prior booking, contract confirmation, and owner approval.


4. Payments & Financial Transactions

4.1. Payment Schedules: Charter payments, deposits, and balances must be remitted in accordance with the payment schedule set forth in your official charter agreement or proforma invoice via approved bank wire transfer or authorized payment method.

4.2. Currency: All transactions are processed in the currency specified in your contract (EUR, USD, or GBP).


5. Insurance & Liability

5.1. Specialist Coverage Recommended: While chartered yachts carry marine hull and third-party protection & indemnity insurance, Code Zero Yachts strongly recommends that all charterers obtain independent Charter Cancellation Insurance and Charterers' Liability Insurance.

5.2. Limitation of Liability: Code Zero Yachts, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, or consequential loss, injury, illness, damage, or delay arising from the operation of any vessel, weather disruptions, itinerary changes directed by the captain for safety, or actions of third-party operators.


6. Website Use & Intellectual Property

6.1. Ownership: All content, logos, branding, text, custom itinerary descriptions, and digital layouts on codezeroyachts.com are the intellectual property of Code Zero Yachts or licensed from maritime clearinghouses and partners.

6.2. Prohibited Conduct: You agree not to scrape, copy, modify, distribute, or reverse-engineer any portion of the website, yacht database, or API integrations for commercial purposes without prior written authorization.


7. User Inquiries & Data Privacy

Any personal information submitted through our online questionnaires, Typeform inquiries, or communication channels is collected, processed, and protected in strict accordance with our Privacy Policy and applicable GDPR regulations.


8. Governing Law & Jurisdiction


These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute.
